1. Agreement

These Terms of Service ("Terms") constitute a legal agreement between you ("Customer", "you") and Vaultworks Software OU ("NetRecon", "we", "us"), a company registered in Estonia. By creating an account or using the NetRecon platform, you agree to be bound by these Terms.

2. Account Terms

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old or have authorization from a legal guardian
• One person or legal entity per account; accounts cannot be shared between organizations
• You are responsible for all activity that occurs under your account

3. Payment Terms

Self-hosted license:

• Annual subscription billed in advance
• Full refund available within 14 days of initial purchase
• No refunds after the 14-day period
• License is tied to a single organization and may not be resold or transferred

Cloud-hosted subscription:

• Monthly or annual billing cycles available
• Cancel anytime; service continues until the end of the current billing period
• No pro-rata refunds for partial billing periods

All payments are processed by Paddle, our merchant of record. Prices are listed in EUR and may be subject to applicable taxes.

4. Acceptable Use

You agree to the following conditions when using NetRecon:

• You must have explicit authorization to scan any network you target with NetRecon
• You may not use NetRecon for unauthorized network scanning, penetration testing, or any illegal activity
• You may not attempt to reverse-engineer, decompile, or disassemble the NetRecon software
• You may not use the platform to disrupt, damage, or gain unauthorized access to third-party systems
• You may not resell, sublicense, or redistribute NetRecon without written permission

5. Intellectual Property

The NetRecon platform, including its software, documentation, logos, and design, is the intellectual property of Vaultworks Software OU. Your subscription grants you a non-exclusive, non-transferable license to use the platform for its intended purpose. You retain ownership of all data you generate or store within NetRecon.

6. Limitation of Liability

To the maximum extent permitted by law, NetRecon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim arising from or related to these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

7. Warranty Disclaimer

The NetRecon platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or completely secure.

8. Indemnification

You agree to indemnify and hold harmless Vaultworks Software OU, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

9. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through the dashboard or by contacting support. We may suspend or terminate your account if you violate these Terms, fail to pay, or engage in activity that harms other users or our infrastructure. Upon termination, your data will be available for export for 30 days, after which it will be permanently deleted.

10. Changes to Terms

We may modify these Terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the platform after the effective date constitutes acceptance. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.

11. Governing Law

These Terms are governed by the laws of the Republic of Estonia and the European Union. Any disputes arising from these Terms shall be submitted to the courts of Estonia.
